Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

Eligibility: The TIDAL X Demi and Nick Ticket Giveaway (the “Promotion”) is open only to legal residents of Canada (excluding Quebec) and the 50 United States and District of Columbia, who are at least eighteen (18) years of age at the time of entry. Employees, officers, directors, and agents (and their immediate families and members of their households, whether or not related) of Aspiro AB (“Sponsor”) and its subsidiaries, parents, affiliates, franchisees, and advertising, promotion, prize suppliers, and prize fulfillment agencies as applicable, are not eligible to enter or win. Promotion is void where prohibited by law. Participation constitutes Entrant’s (as defined below) full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Promotion. Winning a Prize (as defined below) is contingent upon fulfilling all requirements set forth herein. Subject to all applicable federal, state, and local laws and regulations.

Timing: The Promotion begins on April 12, 2016 at 12:00:00 p.m. Eastern Time (ET) and ends on June 15, 2016 at 12:00:00 p.m. ET (“Promotion Period”). Sponsor’s computer is the official time keeping device for this Promotion.

How to Enter: During the Promotion Period, a pop-up message will appear when you use your mobile device to stream a track on Tidal from Demi Lovato and/or Nick Jonas’ artist page. Follow the instructions on the pop-up message, which will direct you to a landing page where you must complete an electronic entry form, including the Demi and Nick show (the “Show”) you would like to attend. The pop-up message will only appear when you use a mobile device. MESSAGE AND DATA RATES MAY APPLY WHEN YOU USE A MOBILE DEVICE IN CONJUNCTION WITH PARTICIPATION IN THE PROMOTION. Limit: One entry per person/per email address. Individuals must provide all applicable information requested to receive an entry and be eligible to win. Upon submission of the completed entry form, the individual is deemed an “Entrant” for purposes of the Promotion. Incomplete entries will be disqualified. Multiple Entrants are not permitted to share the same e-mail address. In the event of a dispute as to any entry, the authorized account holder of the e-mail account submitted on the electronic entry form will be deemed to be the Entrant. The “authorized account holder” is the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The potential “Winner” (as defined below) may be required to show proof of being the authorized account holder. Entrants can sign up for a Tidal account (starting off as a free trial period) by visiting http://tidal.com/. Tidal’s Terms and Conditions of Use, available at http://tidal.com/us/terms, apply.

Promotion Drawing: Prior to randomly selecting the potential Winners, Sponsor will divide all entries into “Shows” representing the different shows that Demi and Nick will play at. One potential Winner will be chosen for each Show. An Entrant’s Show will be determined by the Show selected by the Entrant in the electronic entry form. After the Promotion Period, Sponsor will randomly select the potential Winners from among all eligible entries received during the Promotion Period for each Show. The potential Winners will be notified by email and/or phone, in Sponsor’s sole discretion. Potential Winners must respond to Sponsor’s notice within twenty-four (24) hours after the time of notice or else that potential Winner may be disqualified. If a potential Winner cannot be contacted or fails to respond to Sponsor’s notice within the required time period, that potential Winner may forfeit the Prize in Sponsor’s sole discretion. Odds of winning a Prize depends on the total number of eligible entries received for each Show. Potential Winners must continue to comply with the terms and conditions of these Official Rules; and winning is contingent upon fulfilling all requirements. In the event that a potential Winner is disqualified or forfeits the Prize for any reason, an alternate potential Winner will be selected in a random drawing from among all remaining undrawn eligible entries (time permitting) for the Show of the disqualified potential Winner. If time does not permit an alternate potential Winner to be chosen, in the Sponsor’s sole discretion, then the Prize that was forfeited will not be awarded. Once the potential Winner’s eligibility is verified by the Sponsor, the Entrant will be deemed to be a Prize winner (“Winner”), subject to compliance with all applicable rules set forth herein.

Prize: One (1) prize (each, a “Prize”) will be awarded to each Winner. Each Winner will receive two (2) tickets to the Show they entered when they submitted their entry. Approximate Retail Value (“ARV”) of each Prize: $59.

Prizes will be available for pick-up at the Show location or at another location determined by Sponsor. Only one (1) Prize per person. No substitution or transfer of a Prize is permitted, except at Sponsor’s sole discretion. Prize is not exchangeable for cash. All federal, state and local taxes are the sole responsibility of Winner. Prize consists of only those items specifically stated as part of the Prize. All expenses and costs associated with the acceptance or use of the Prize that are not expressly specified in these Official Rules as being part of the Prize are the sole responsibility of the winner (including, without limitation, transportation to/from the Show and concessions at the Show). Tickets are subject to the standard terms and procedures of the issuer and the terms and conditions listed thereon. Sponsor is not responsible if the Show is delayed, postponed or canceled for any reason. Winners will not receive compensation from Sponsor for tickets that are unable to be used due to cancellation, delay or postponement of the Show. Sponsor reserves the right to substitute all or a portion of the Prize with a prize of equal or greater value in its sole discretion if all or a portion of the Prize becomes available.

FOR RESIDENTS OF CANADA ONLY: If a potential winner is a resident of Canada he/she will also be required to answer a time-limited skill-testing question without assistance, in order to be eligible to receive a prize.

Release: By accepting the Prize, Winners agree to release and hold harmless Sponsor and its subsidiaries, affiliates, suppliers, distributors and each of their respective officers, directors, employees and agents, and any other person or entity affiliated or associated with the Promotion (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt or use or misuse of a Prize or any portion of a Prize.

Publicity: Except where prohibited, participation in the Promotion constitutes Winner’s consent to Sponsor’s and its agents’ use of Winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion, to be acting in violation of these Official Rules or to be acting in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to shipping or other malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Promotion or receipt or use or misuse of any Prize. If for any reason an Entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another entry in the Promotion, provided that such confirmation occurs prior to the drawing.

Disputes: Except where prohibited, all Entrants agree that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any Prize awarded shall be governed by the laws of the State of New York and shall be resolved individually, without resort to any form of class action, and exclusively in a federal or state court located within New York County, New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will the Entrants be permitted to obtain awards for, and Entrants hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

Winner’s List: For the Winners’ names, send a self-addressed stamped envelope to “TIDAL X Demi and Nick Ticket Giveaway”, Aspiro AB, 1411 Broadway 39th Floor, New York, NY 10018. The request must be received ninety (90) days after the Winners for the Promotion are chosen.
